Should my LLC elect to be taxed as an S corporation?

That depends on your income, payroll, state taxes and plans for the business, so it is a question for a tax professional. By default, the IRS disregards a single-member LLC and taxes a multi-member LLC as a partnership. If you have already decided to elect S corporation status, the resolutions can authorize filing IRS Form 2553; otherwise they simply record that the default classification applies.

Why name bank signatories in a resolution?

Banks need evidence of who may open accounts, sign checks and move money for the LLC. A resolution that names the signatories and how many must sign gives the bank that evidence, and the bank may also ask you to sign its own form of resolution.

What if we already opened a bank account or got an EIN before signing?

That is common. The resolutions can state that the EIN has already been obtained, and the general ratification clause confirms earlier actions taken for the company by its organizer, members, managers or officers.
